Agreement to our legal terms

We are Listogics ("Company," "we," "us," "our"), a business registered in Canada. You can contact us by email at support@listogics.com.

We operate the website https://listogics.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Listogics, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date. It is your responsibility to periodically review these Legal Terms. You will be deemed to have accepted the changes by your continued use of the Services after revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. Our services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

The Services are not tailored to comply with industry-specific regulations (such as HIPAA or FISMA), so if your interactions would be subject to such laws, you may not use the Services.

2. Intellectual property rights

Our intellectual property

We are the owner or licensee of the intellectual property rights in our Services, including the source code, databases, software, designs, text, and graphics (the "Content"), as well as the trademarks and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to use them for your personal or internal business purpose. Except as set out here, no part of the Services and no Content or Marks may be copied, reproduced, republished, sold, or otherwise exploited for any commercial purpose without our express prior written permission.

Your content

You retain ownership of the product photos, listing details, and other content you provide to the Services ("Your Content"). You grant us the limited license needed to host, process, and use Your Content solely to provide the Services to you — including generating your listings and, when you approve, publishing them to your connected Etsy shop. You represent that you own or have the necessary rights to Your Content, and that it does not infringe the rights of any third party.

Your submissions

By sending us any question, comment, suggestion, or other feedback about the Services ("Submissions"), you agree that we may use and share that feedback for any lawful purpose without compensation to you.

3. User representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true and accurate; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these Legal Terms; (4) you are not a minor; (5) you will not access the Services through automated or non-human means except as expressly permitted; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

4. User registration

You register for the Services by connecting your Etsy shop through Etsy's own secure sign-in (OAuth). You are responsible for all activity under your account and for maintaining the security of your connected accounts.

5. Purchases and payment

Paid subscriptions are processed through our payment provider, Stripe. All prices and payments are in US dollars (USD). You agree to provide current, complete, and accurate purchase and account information, and to promptly update it so that we can complete your transactions and contact you as needed. Applicable sales tax may be added. We may change prices at any time.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for those amounts. We reserve the right to correct any pricing errors, and to refuse or cancel any order in our sole discretion.

6. Subscriptions

Free tier

We offer a free tier that lets you use the Services with a limited amount of usage and a limited number of actively monitored listings, with no time limit and no credit card required. Paid subscriptions unlock higher limits and additional capacity.

Billing and renewal

Paid subscriptions continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis, without requiring your prior approval for each recurring charge, until you cancel. The billing cycle is monthly.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by managing your billing in your account. Your cancellation takes effect at the end of the current paid term. If you have any questions or are unsatisfied with the Services, please email us at support@listogics.com.

Fee changes

We may make changes to subscription fees from time to time and will communicate any price changes to you in accordance with applicable law.

7. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to:

• Systematically retrieve data or content from the Services to build a collection, compilation, or database without our written permission.
• Trick, defraud, or mislead us or other users, or attempt to learn sensitive account information such as passwords.
• Circumvent, disable, or interfere with security-related features of the Services.
• Use the Services in any way that violates applicable laws or regulations.
• Upload or transmit viruses, Trojan horses, or other malicious material, or otherwise interfere with the operation of the Services.
• Engage in unauthorized automated use of the system, including scripts, bots, scrapers, or data-mining tools, except as may result from standard search-engine or browser use.
• Attempt to impersonate another user or person, or use another user's account.
• Interfere with, disrupt, or create an undue burden on the Services or connected networks.
• Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software making up the Services.
• Use the Services as part of any effort to compete with us, or otherwise use the Services for any unauthorized commercial enterprise.
• Make unauthorized use of the Services, including collecting usernames or email addresses to send unsolicited email, or creating accounts by automated means or under false pretenses.
• Sell or otherwise transfer your account.

8. User generated contributions

The Services do not currently invite you to post public contributions, reviews, or forum content viewable by other users. If we add any such functionality in the future, any content you make available must be lawful, original to you (or properly licensed), accurate, and not infringing, obscene, harassing, or otherwise objectionable, and you will be solely responsible for it.

9. Contribution license

You retain full ownership of the content you provide. We do not claim ownership of it. You grant us only the limited, revocable license needed to operate the Services and provide them to you, as described in "Your content" above. We are not liable for content you provide, and you are solely responsible for it.

10. Third-party websites and content

The Services integrate with, and may contain links to, third-party websites and services (such as Etsy, Stripe, and — if you choose to connect it — Pinterest). We do not control and are not responsible for the content, accuracy, or policies of those third parties. Your use of a connected third-party account is governed solely by your agreement with that third party, and you access third-party websites and content at your own risk.

11. Services management

We reserve the right, but not the obligation, to: monitor the Services for violations of these Legal Terms; take appropriate legal action against anyone who violates the law or these Legal Terms; refuse, restrict, or disable access to the Services or any content; and otherwise manage the Services to protect our rights and property and facilitate their proper functioning.

12. Privacy policy

We care about data privacy and security. Please review our Privacy Policy at https://listogics.com/privacy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States and other regions. If you access the Services from elsewhere, you consent to having your data transferred to and processed in those regions.

13. Term and termination

These Legal Terms remain in full force and effect while you use the Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services to any person for any reason, including for breach of these Legal Terms or any applicable law. We may terminate your use of the Services or delete your account at any time, without warning, in our sole discretion.

14. Modifications and interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice, and we have no obligation to update any information on the Services. We cannot guarantee the Services will be available at all times; we may experience issues or perform maintenance resulting in interruptions or errors. You agree that we have no liability for any loss or inconvenience caused by your inability to access or use the Services during any downtime.

15. Governing law

These Legal Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You and Listogics irrevocably consent that the courts of Ontario, Canada shall have jurisdiction to resolve any dispute arising in connection with these Legal Terms.

16. Dispute resolution

You agree to first attempt to resolve any dispute informally by contacting us. If a dispute cannot be resolved informally, you agree to submit it to the jurisdiction of the courts identified in the "Governing law" section above.

17. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, and availability. We reserve the right to correct any such errors and to change or update the information on the Services at any time, without prior notice.

18. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR SALES, RANKING, OR TRAFFIC RESULTS. YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING EVERY LISTING BEFORE IT IS PUBLISHED TO YOUR ETSY SHOP.

19. Limitations of liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

20. Indemnification

You agree to defend, indemnify, and hold us harmless, including our officers, agents, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties; or (4) your violation of the rights of a third party.

21. User data

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular backups, you are responsible for the data you transmit or that relates to your activity using the Services.

22. Electronic communications, transactions, and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.

23. Miscellaneous

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. If any provision is determined to be unlawful or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. There is no joint venture, partnership, or employment relationship created between you and us as a result of these Legal Terms.
